Welcome to Moadon (hereinafter: "Moadon", the "Platform" or the "Service"). These Terms of Use constitute a legally binding agreement between you (hereinafter: the "User" or "you") and the Service operator, as defined in section 2 below (hereinafter: the "Operator" or "we"). Masculine references are for convenience only, and the Terms apply to every person regardless of gender.

You are responsible for reading the Terms in full. Registering for the Service, selecting the checkbox accepting the Terms, opening a Community and/or purchasing a subscription constitute full, free and informed consent to these Terms and to the Privacy Policy, which forms an integral part of them. If you do not agree to the Terms, please refrain from registering for or using the Service.

In brief (not a substitute for the full Terms)

  • Moadon is a technology platform. Each Community is managed by its Community Owner, who determines the content, price and joining terms.
  • A Community Subscription is purchased from the Community Owner, and the money goes directly to that owner. Moadon is not a party to the transaction between the Community Owner and Community Members.
  • Community Owners pay Moadon for the Platform Subscription (section 8). Community Members cancel their Community Subscription under section 9.
  • A subscription can be canceled at any time on the Website, without speaking to anyone. See also the Cancellation Policy.

2. Operator details

The Service is operated by Peleg Dror, VAT-registered sole proprietor no. 315574129, 8 Yitzhak Sadeh, Tel Aviv.

3. Description of the Service and structure of the relationships

3.1. Moadon is a technology platform for building communities and online learning, allowing Community Owners to open and manage a Community and Community Members to join it. The Service includes, among other things:

  • Community and communication - forum, comments, mentions, polls, private spaces, private messages and real-time notifications.
  • Courses and learning - courses, video lessons, learning materials, tests, a learning path and progress tracking, including measurement of lesson viewing time.
  • Events - an event calendar, attendance confirmations and reminders, including connections to Zoom and Google Meet.
  • Engagement - points, levels, badges, activity streaks and a leaderboard.
  • Tools for Community Owners - member and subscription management, analytics, member engagement tracking (CRM), mailings to members, artificial intelligence tools, an API and an MCP server for connecting AI agents.

3.2. Structure of the relationships. The Operator provides only the technology infrastructure. Each Community is operated by its Community Owner, who determines its content, price, joining terms and additional conduct rules. A Community Subscription is purchased from the Community Owner, and payment is transferred to the Community Owner through the payment processor they have connected. The Operator is not a party to the transaction between the Community Owner and Community Member and is not responsible for the Community content, its quality or the fulfillment of the Community Owner's promises, without limiting the Operator's liability under law for the infrastructure it operates. A Community Owner may publish their own terms and privacy policy for their Community; these are displayed on the Community page, accepted by the joining member on the payment page, and apply to the relationship between the owner and their Community Members. These Terms continue to apply to use of the Platform itself.

3.3. The Operator may change, expand, reduce or discontinue a component of the Service, in whole or in part, from time to time. A change that materially harms a User's rights during a paid subscription period will be made only with reasonable advance notice and an appropriate remedy where required by law.

4. Eligibility

4.1. The User declares that they are 18 or older and have legal capacity to enter into a binding agreement under the Legal Capacity and Guardianship Law, 5722-1962 (חוק הכשרות המשפטית והאפוטרופסות). The Service is not intended for minors.

4.2. The User declares that all details they provide are true, accurate and current, and that they are authorized to make the required payments using the payment method they provide.

4.3. A User acting on behalf of a business or corporation declares that they are authorized to enter into an agreement on its behalf and bind it to these Terms.

5. Registration, account and security

5.1. Registration requires providing a name and email address, or signing in with a Google account. Certain Communities may request additional details, such as a phone number.

5.2. The User is solely responsible for keeping their account access details confidential and for any action taken through it, whether by the User or by someone to whom they have given access.

5.3. The account or its access details may not be transferred, shared, sold or rented.

5.4. The Operator must be notified without delay of any suspected unauthorized use of the account at support@moadon.io.

5.5. The Operator may take reasonable verification measures (including two-step verification and bot protection mechanisms), and refuse registration or suspend an account where there is reasonable concern about impersonation, fraud or a breach of these Terms.

5.6. A Community Owner may refuse to admit an applicant to their Community at their discretion and subject to law. The Operator may refuse to open an account or Community where there is reasonable concern about prohibited use of the Service. Such refusal, before completion of a paid transaction, does not entitle the applicant to a remedy or compensation.

6. Code of conduct

This code applies across all Platform spaces: forums, comments, private messages, events and every communication channel on the Platform (hereinafter: "Community Spaces"). A Community Owner may set additional rules for their Community, provided they do not conflict with these Terms or the law.

6.1. Basic principles. Mutual respect without humiliation, discrimination or disrespect for any reason; constructive, relevant discussion; and each User's personal responsibility for the content they publish and the way they communicate with others.

6.2. Prohibited conduct. Without limiting any legal provision, the following are prohibited:

  • Harassment, threats, humiliation, bullying or abusive conduct toward a User, instructor, guest or staff member.
  • Publishing content that is racist, sexual, violent, discriminatory, inciting or offensive to a population group.
  • Defamation as defined in the Prohibition of Defamation Law, 5725-1965 (חוק איסור לשון הרע).
  • Sharing another person's personal information (image, phone number, address or identifying detail) without their consent.
  • Commercial advertising, spam or commercial solicitation of Community Members without the Community Owner's approval.
  • Impersonation, creating multiple accounts to mislead or accumulate points, or providing false information.
  • Infringing intellectual property rights, including distributing course content and recordings.
  • Attempting to access information or systems without authorization, automated collection of information (Scraping), distributing malicious software or interfering with the operation of the Service.
  • Any unlawful activity, including fraud, phishing or harm to minors.

6.3. Enforcement. Depending on the severity of the breach, the Community Owner (within their Community) and the Operator (across the Platform) may take one or more of the following measures: a warning; removal of the offending content without prior notice; temporary suspension; permanent removal and account closure; and, for a serious breach, referral to law enforcement authorities.

6.4. Removal due to a breach of the code of conduct does not entitle the User to a refund for the remainder of a paid subscription period, unless mandatory law provides otherwise.

6.5. Reporting. A breach may be reported to Community Administrators or to support@moadon.io, with details and supporting evidence. Every report will be reviewed confidentially and within a reasonable time.

6.6. The Operator is not a party to disputes between Users and is not responsible for content published by Users or Community Owners. However, the Operator will act to remove content that violates the law or these Terms, subject to reasonable investigation and in accordance with section 10.5.

7. Community Owner obligations

In addition to the other Terms, a Community Owner declares and undertakes that:

7.1. Responsibility for the Community and content. They are solely responsible for their Community's content, its legality and accuracy, and the promises made to its members, and they hold all rights and permissions for the content they upload (including videos, music, images and learning materials). The Service may not be used for activities requiring a license under law without such a license, or for misleading advertising.

7.2. Sales to members and consumer protection. In relation to their Community Members, the Community Owner is the business selling the subscription. Before payment, they must display the price including VAT, the subscription period, renewal terms, promotion or trial terms, and cancellation terms; issue invoices and receipts as required by law; and handle cancellation and refund requests in accordance with the Law and section 9. The Operator provides technical tools (such as a cancellation button and refund request mechanism), but these do not replace the Community Owner's legal obligations.

7.3. Payment processing. Community Member payments are processed through the Community Owner's payment processor account (such as CardCom), with which the Community Owner is the contracting party. Funds are transferred directly to the Community Owner, and the Operator does not hold Community Member funds. The Community Owner bears the fees, refunds, chargebacks and applicable tax obligations.

7.4. Community Member privacy. For the personal information of their Community Members, the Community Owner is the database controller, and the Operator acts as a holder (processor) on their behalf and under their instructions, as detailed in the Privacy Policy and the Data Processing Agreement (DPA) accepted by the Community Owner in the administration panel. The Community Owner may use the information for any lawful purpose they determine, including through the API, provided they comply with the Protection of Privacy Law, 5741-1981 (חוק הגנת הפרטיות) (including Amendment 13) and the Data Security Regulations (תקנות אבטחת המידע), respond to members' requests to exercise their rights, and do not unlawfully sell or transfer the information to a third party.

7.5. Information leaving the Platform. Information that a Community Owner exports or transfers outside the Platform, including through file exports, API keys, an MCP server, AI agents they connect, Webhooks, their own email server or WhatsApp groups they manage, is their sole responsibility from the moment it leaves.

7.6. Mailings to members. For marketing mailings to their Community Members, the Community Owner is the advertiser for the purposes of section 30א of the Communications Law (Telecommunications and Broadcasting), 5742-1982 (חוק התקשורת (בזק ושידורים)). Adding members to a Community manually or in bulk requires a lawful basis and does not constitute consent to receive advertising.

7.7. AI tools and automations. A Community Owner is responsible for any content published by an AI agent, bot or automation they configure, including its accuracy, and must not present automated content in a way that may mislead Community Members.

7.8. Administrators and access keys. A Community Owner is responsible for the actions of administrators they appoint and for all use of API keys they create, and must keep those keys confidential and revoke them when no longer needed.

7.9. A Community Owner will indemnify the Operator for any allegation or claim by a Community Member or third party arising from their Community, its content, transactions with its members or a breach of this section.

8. Platform Subscription for Community Owners

8.1. Plans and prices. Prices include VAT. The binding price is the price displayed on the pricing page at the time of purchase.

PlanMonthlyAnnual (paid in advance)Includes
Basic127 ₪ per month1,279 ₪ per year (approximately 107 ₪ per month, saving 16%)Up to 100 members, one administrator
Pro197 ₪ per month1,889 ₪ per year (approximately 157 ₪ per month, saving 20%)Unlimited members, up to 3 administrators

8.2. Payment and renewal. Payment is collected in advance through CardCom. All plans renew automatically at the end of each billing period, by recurring charge to the credit card provided, for the same amount as the preceding period, unless the price is updated as described in section 8.6.

8.3. Cancellation within 14 days. Cancellation within 14 days of the transaction date or the date of receipt of the transaction details document, whichever is later, entitles the User to a full refund less a cancellation fee of 5% of the transaction price or 100 ₪, whichever is lower.

8.4. Cancellation after 14 days. Cancellation prevents the next renewal charge. The Community remains active until the end of the paid billing period, with no refund for the remainder of the period, unless mandatory law provides otherwise. In exceptional circumstances, the Operator may approve a partial or full refund as a goodwill gesture.

8.5. Subscription expiry. At the end of a canceled subscription period, or if payment is not completed, the Community will be blocked and its members will be unable to access it until the subscription is renewed. The Community Owner is responsible to their Community Members for the consequences of the blocking, including stopping their recurring charges with the owner's payment processor and providing refunds as required.

8.6. Price updates. The Operator may update subscription prices for future billing periods, provided that an email notice is sent at least 14 days before the billing date at the updated price, with an option to cancel before the change takes effect. A price update will not apply to a paid period.

8.7. Annual renewal reminder. For an annual plan, an email reminder will be sent no less than 60 days before the renewal date, including the amount, billing date, plan and a direct cancellation link. Failure to receive the reminder for reasons outside the Operator's control (such as email filtering or an incorrect address) does not exempt the User from payment.

8.8. Full refund without a cancellation fee. A material defect in the Service, material nonconformity with its description, non-supply or a breach of a mandatory legal provision by the Operator entitles the User to a full refund without a cancellation fee, regardless of the cancellation date.

8.9. Special populations. A senior citizen (65 or older), a person with a disability and a new immigrant (up to 5 years from the immigration date) are entitled to a cancellation window of 4 months instead of 14 days, subject to presenting supporting documentation.

8.10. How to cancel. On the Website: Community administration panel → Settings → "Cancel Platform Subscription", or by email to support@moadon.io. Upon receipt of the request, written confirmation will be sent, including the date the request was received, its effective date and the Operator's position on refund eligibility.

9. Community Subscription (for Community Members)

9.1. The seller is the Community Owner. The subscription price, period, renewal terms and promotion or trial terms are determined by the Community Owner and displayed on the joining page before payment. Payment is made through the Community Owner's payment processor, and the invoice is issued by the owner. A Community Owner may offer cancellation terms more favorable than those in this section, but not less favorable.

9.2. Renewal. A Community Subscription renews automatically at the end of each billing period until canceled.

9.3. Promotions and trial periods. A promotional price is valid only for the period stated on the joining page, after which the subscription renews at the full price displayed. Joining at a promotional price is available once per User. Providing a payment method is required even during a promotion or trial period, for charging at its end. Cancellation before the end of the period prevents the full charge.

9.4. Cancellation within 14 days. Cancellation within 14 days of the transaction date or the date of receipt of the transaction details document, whichever is later, entitles the User to a refund for the proportionate unused part of the period, less a cancellation fee of 5% of the transaction price or 100 ₪, whichever is lower, provided the Community's Digital Content has not yet been used (such as viewing a lesson, playing a video or downloading material). After use of Digital Content, the exception in section 14ג(ד)(3) of the Law applies and no refund will be given.

9.5. Cancellation after 14 days. Cancellation is possible at any time. It prevents the next renewal charge, and access to the Community continues until the end of the paid billing period, with no refund for its remainder, unless the Community Owner decides otherwise or mandatory law provides otherwise.

9.6. Special populations. A senior citizen (65 or older), a person with a disability and a new immigrant (up to 5 years from the immigration date) are entitled to a cancellation window of 4 months instead of 14 days, subject to presenting supporting documentation and to the same conditions.

9.7. Full refund without a cancellation fee. A material defect, material nonconformity with the description, non-supply or a breach of a mandatory legal provision by the Community Owner entitles the User to a full refund without a cancellation fee.

9.8. How to cancel. On the Website: Settings → Subscriptions → "Cancel Subscription" (a self-service action available at any time), or by email to the Community Owner or to support@moadon.io, which will forward the request to the Community Owner. Written confirmation will be sent upon receipt of the request. An approved refund will be made within 14 days of receipt of the cancellation notice, to the original payment method.

9.9. If a Community is blocked because the Community Owner's Platform Subscription has expired, the Community Member retains their rights, including to a refund, against the Community Owner.

10. Intellectual property and prohibition on content distribution

10.1. All rights in the Platform, including the source code, design, Moadon name and mark, and logo, belong to the Operator.

10.2. Rights in Community content, including courses, recordings, presentations and learning materials, belong to the Community Owner and/or their rights holders, and are protected under the Copyright Law, 5768-2007 (חוק זכות יוצרים).

10.3. Content from the Platform or a Community may not be copied, recorded, photographed, shared, distributed or sold; access details or content entry links may not be transferred; and screenshots or video clips from such content may not be published, without the rights holder's prior written consent.

10.4. A breach of this section may result in permanent account blocking without a refund and civil and criminal proceedings, including a claim for statutory damages under the Copyright Law.

10.5. Reporting copyright infringement. You may contact support@moadon.io and include: (a) a description of the protected work; (b) a link to the infringing content; (c) contact details; (d) a good-faith statement that the use is unauthorized. The report will also be forwarded to the relevant Community Owner, and content found to infringe will be removed in accordance with law.

11. User Content

11.1. The User retains rights in the original content they publish ("User Content").

11.2. By publishing User Content, the User grants the Operator and the Community Owner of the Community where it was published a worldwide, non-exclusive, royalty-free license to store, display, reproduce and process the content within and for the operation of the Service, including through the Platform's search and artificial intelligence tools.

11.3. The Community Owner and the Operator may remove content that violates the law or these Terms, and may pin or lock posts.

11.4. Private messages are visible only to conversation participants and are not disclosed to Community Owners. The Operator will not inspect them except to investigate a reported violation, secure the Service or as required by law.

11.5. The Operator or a Community Owner may use a recommendation, testimonial or quotation voluntarily provided by a User for marketing only with the User's prior consent. Removal from future marketing use may be requested at any time, without affecting publications already issued.

12. Third-party services

The Platform integrates third-party services, as detailed in the Privacy Policy. Their use is also subject to their terms, including the Zoom Terms, Google Terms and WhatsApp Terms. The Operator is not responsible for their availability, operation or policies, or for a data security incident occurring within those services themselves. Its responsibility in this regard is limited to reasonable selection of providers and acting in accordance with the Privacy Policy.

13. Artificial intelligence

13.1. Some Service features are based on third-party artificial intelligence models (such as a writing assistant, lesson summaries, content tagging and AI agents). AI outputs may be incorrect, incomplete or outdated, and the User is responsible for checking them before use or publication.

13.2. Do not enter sensitive information or personal information about others that you are not authorized to share into the AI tools.

14. Limitation of liability

14.1. The Service is provided "AS IS" and "AS AVAILABLE", without any express or implied undertaking, including fitness for a particular purpose or continuous availability.

14.2. The Operator will not be liable for indirect, consequential, special or punitive damages, including loss of profit, revenue, business opportunity or information, to the extent permitted by law.

14.3. The Operator is not responsible for content, advice or recommendations provided by Community Owners, instructors or Users. Community content is not professional advice (legal, financial or otherwise), and no result, business success or profit is promised. The Operator does not promise Community Owners any number of members, revenue or business outcome.

14.4. A Community Owner is responsible for keeping a copy of their important content. The Operator takes steps to back up the system but does not guarantee that information will not be lost.

14.5. Force majeure. The Operator will not be responsible for failure or delay in providing the Service due to circumstances beyond its reasonable control, including supplier failures (such as hosting services, CardCom, Zoom and WhatsApp), cyberattacks, natural disaster, epidemic, war, hostilities, strike or an order of a competent authority, without limiting the right to cancel.

14.6. The Operator does not guarantee the continued availability, pricing or capabilities of AI tools and other third-party tools, which may change without notice.

14.7. No personal claim will be brought against employees or anyone acting on the Operator's behalf for an action performed within their role. The sole remedy is against the Operator.

14.8. The Operator's total aggregate liability to a User, on any grounds, will not exceed the total consideration actually paid by the User to the Operator in the twelve months preceding the event giving rise to the claim.

14.9. Nothing in this section limits mandatory rights under the Consumer Protection Law or any other law, or exempts the Operator from liability for damage caused intentionally or through gross negligence.

15. Indemnification

The User will indemnify the Operator and anyone acting on its behalf for any damage, loss, payment or expense (including reasonable attorney fees) arising from the User's breach of these Terms, including a breach of the code of conduct, infringement of intellectual property rights or a third-party claim arising from their use of the Service in violation of the law or these Terms.

16. Marketing communications ("Advertising")

16.1. Under section 30א of the Communications Law (Telecommunications and Broadcasting), 5742-1982, advertising will be sent only after express prior consent through a separate checkbox that is not selected by default.

16.2. Mailings sent by a Community Owner to their Community Members through the Platform will be sent only to members who have given such consent, and the Community Owner is the advertiser for those mailings.

16.3. Every advertisement will be marked in its subject line with the word "פרסומת" (Advertisement), include the advertiser's details and include a free, immediate unsubscribe link that does not require signing in. Email preferences can also be managed in the account notification settings.

16.4. System messages, such as registration confirmations, receipts, password resets, cancellation confirmations, renewal reminders and notices of changes to terms, are not advertisements and will be sent without separate consent.

17. Termination and suspension

17.1. The User may close their account at any time through the account privacy settings, without limiting the provisions of sections 8 and 9 on cancellation and refunds.

17.2. A Community Owner closing their Community is responsible for canceling the Platform Subscription and stopping recurring charges for their Community Members with their payment processor.

17.3. The Operator may suspend or terminate access to the Service, with or without prior notice and subject to reasonable discretion, in the event of a breach of these Terms, reasonable suspicion of fraud or a legal requirement.

17.4. When an account is closed, engagement data (points, badges and streaks) will be deleted, subject to legal data retention obligations and the Privacy Policy.

18. Governing law and jurisdiction

18.1. These Terms are governed solely by the laws of the State of Israel, without application of conflict-of-laws rules.

18.2. Exclusive jurisdiction is vested in the competent courts in the Tel Aviv-Yafo district, subject to mandatory legal provisions regarding venue.

18.3. The parties will seek to resolve disputes through good-faith negotiation and may seek mediation before legal proceedings, without limiting the right to go to court.

18.4. These Terms constitute a "standard contract" as defined in the Standard Contracts Law, 5743-1982 (חוק החוזים האחידים). In any conflict between these Terms and a mandatory legal provision, the legal provision prevails.

19. General provisions

19.1. Changes. The Operator may update these Terms. Material changes will be published on the Website and/or sent by email at least 14 days before taking effect. Continued use thereafter constitutes acceptance of the updated Terms.

19.2. Assignment. The User may not assign their rights under these Terms without the Operator's written consent. The Operator may assign the agreement to an affiliated entity or as part of a sale of the business, provided the User's rights are not harmed.

19.3. Waiver. Failure to exercise a right will not constitute a waiver of it.

19.4. Entire agreement. These Terms, together with the Privacy Policy, Cancellation Policy and Cookie Policy, constitute the entire agreement between the parties regarding the Service. In any conflict between these documents, these Terms of Use prevail.

20. Consent and electronic signature

Under the Electronic Signature Law, 5761-2001 (חוק חתימה אלקטרונית), registration for the Service, selecting the checkbox accepting the Terms, opening a Community and purchasing a subscription constitute a binding electronic signature equivalent to a handwritten signature. By carrying out a transaction, the User confirms that they have read, understood and agreed to these Terms of Use and the Privacy Policy, particularly the cancellation and refund terms in sections 8 and 9.

21. Contact
